Terms of use

The agreement between you and Meisal, in plain English.

Who these terms apply to

These terms apply to everyone who creates a Meisal account and to anyone who carries out work through the platform. Separate terms apply to clients who commission work.

Your account

One account per person. The information you give us — your identity, qualifications and experience — must be accurate, and you must keep it up to date. You may not let anyone else use your account or carry out work in your name.

Your status

You work with us as an independent contractor, not an employee. You decide when and whether to accept work, and you are responsible for your own tax and any social contributions where you live. Nothing here creates an employment relationship, a partnership, or exclusivity in either direction.

The work

Work must be your own. You may not delegate it, and you may not use automated tools to generate submissions unless a brief explicitly permits it — the entire value of this work is that a qualified person did it. Submissions are reviewed, and work that does not meet the standard set out in the brief may be returned for correction.

Payment

Your rate is agreed in writing before you begin. Approved hours are paid every two weeks by bank transfer. Where work is returned for correction, payment follows approval of the corrected submission. If your account is closed or suspended, any work already approved is still paid.

Confidentiality

Project briefs, client identities and the content of the work are confidential. You may say publicly that you work with Meisal as a contract domain expert. You may not identify clients or describe specific project content. These obligations continue after you stop working with us.

Intellectual property

Work you produce specifically for a project is assigned to Meisal or the relevant client on payment, so that it can be used for the purpose it was commissioned for. This does not affect anything you created before or independently of the work, and it does not restrict you from practising your profession.

Suspension and termination

Either side may end the relationship at any time. We may suspend an account where we have reason to believe work is not the account holder's own, a qualification cannot be verified, or confidentiality has been breached. We will tell you the reason and you may ask us to reconsider.

Liability

Nothing in these terms excludes liability that cannot lawfully be excluded. Subject to that, neither side is liable for indirect or consequential loss, and our total liability is limited to the amounts paid or payable to you in the twelve months before the claim.

Changes to these terms

We may update these terms. Where a change materially affects you, we will give reasonable notice before it takes effect, and continuing to use the platform after that means you accept the change.

Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute.

This is a plain-English draft describing how we intend to operate. It must be reviewed and finalised by a qualified solicitor before launch, and the final wording will govern. Questions: contact@meisalinc.com
